Terms of Service & Commercial Conditions
Effective Date: October 2026. These commercial terms govern equipment procurement, wholesale quotations, revolving contractor credit facilities, and pre-owned machinery escrow platforms operated by Maxe Digital Solutions.
1. Definitions & Operating Parties
- "Company" / "Seller": Refers to MachPower Tools, commercial brand and platform operated by Maxe Digital Solutions, Kurichi SIDCO, Coimbatore, Tamil Nadu.
- "Buyer" / "Contractor": Any business enterprise, civil contractor, workshop proprietor, or individual placing a purchase order (PO) or requesting quotation.
- "BOM Quote": A formal Bill-of-Materials quotation generated digitally via our B2B RFQ engine or wholesale sales desk.
- "Net-30 Facility": An approved revolving credit facility allowing verified commercial accounts to procure equipment with 30-day post-delivery settlement.
2. Currency, Pricing & GST Statutory Invoicing
All prices are quoted and settled strictly in Indian Rupees (INR, ₹). In B2B Mode, wholesale rates represent taxable base values subject to statutory Goods and Services Tax (GST) as mandated by the Government of India.
- Intra-State Deliveries (Within Tamil Nadu): CGST @ 9% + SGST @ 9% (Total 18% GST). Full GSTR-2B Input Tax Credit claimable.
- Inter-State Deliveries (Pan-India): Integrated GST (IGST) @ 18%. Full GSTR-2B ITC claimable against out-of-state GSTINs.
- GSTIN Responsibility: Buyers must furnish a valid, active 15-digit GSTIN at checkout. Post-dispatch GSTIN modifications require credit notes in accordance with GST rules.
3. Purchase Orders & RFQ Quotation Validity
Bulk RFQ quotations and tenders remain valid for a period of 7 calendar days from issuance. Due to global commodity fluctuations in copper armature windings and abrasive grain raw materials, the Company reserves the right to re-quote upon expiry. An order becomes legally binding only upon written dispatch confirmation or receipt of payment/advance.
4. Settlement Methods & Contractor Credit Facility
Orders may be settled via:
- Direct Bharat UPI QR: Zero MDR transaction fee; instant order clearance.
- RTGS / NEFT Commercial Bank Transfer: Suitable for multi-pallet wholesale consignments.
- Enterprise Net-30 Credit Line: Restricted to pre-approved contractors. Invoices under Net-30 become strictly payable within 30 days of the dispatch date. Default in payment attracts statutory interest at 18% per annum under the MSMED Act, 2006.
5. Freight Logistics, E-Way Bills & Title Transfer
Equipment is dispatched via licensed freight carriers (e.g. VRL Logistics, TCI Express, Blue Dart) or contractor BOPIS collection. For consignments valued over ₹50,000, mandatory electronic E-Way Bills are generated and attached. Title and risk of loss transfer to the Buyer upon handover to the licensed carrier or physical handover at our loading bays.
6. Pre-Owned Machinery Escrow Marketplace Rules
Machinery procured via the /market portal is protected by MachPower Escrow. Buyer funds are held in trust for a 48-hour on-site mechanical inspection window commencing upon confirmed delivery. If no mechanical defect dispute is lodged within 48 hours, funds are unconditionally released to the seller.
7. OEM Warranties & Limitation of Liability
All brand-new power tools and welding equipment carry official manufacturer warranties provided directly by Bosch, DeWalt, Makita, ESAB, or Taparia. The Company assists buyers in warranty processing at our authorized service depots.
In no event shall the Company be liable for indirect, incidental, punitive, or consequential damages, including loss of job site downtime, contractor penalty clauses, or delayed project milestones.
account_balance Arbitration & Exclusive Jurisdiction
Any dispute, controversy, or claim arising out of or relating to commercial transactions on this platform shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat and venue of arbitration shall be Coimbatore, Tamil Nadu, and proceedings shall be conducted in English.
Subject to arbitration, the Courts at Coimbatore, Tamil Nadu, shall have sole and exclusive jurisdiction over all matters arising hereunder.
9. Consumer Protection (E-Commerce) Rules & Grievance Redressal
In compliance with Rule 5(3)(b) of the Consumer Protection (E-Commerce) Rules, 2020, every buyer has access to our dedicated Grievance Officer and Nodal Officer desk. All submitted complaints are assigned a unique tracking ticket with mandatory acknowledgment within 48 hours and formal resolution within 30 days.
